1. Scope of Services & Representation

These Terms and Conditions ("Terms") govern the provision, deployment, and operation of educational software, custom portals, ERP solutions, and our flagship platform AcadOS (including TestMaker, Practice CBT Platform, OMR SmartPhone Evaluation, Institute ERP, and CRM) provided by Hoducation Technologies Pvt. Ltd. ("Hoducation").

By creating an account, requesting a demo, executing an order form, or logging into our software, you represent that you hold the requisite institutional authority to bind your school, university, coaching academy, or educational company.

2. Software License & Usage Rights

• Non-Exclusive License: Hoducation grants the subscribing institution a non-exclusive, non-sublicensable, non-transferable license to access and utilize the subscribed modules for the contracted institutional scope.
• Prohibited Activities: The institution shall not reverse-engineer, decompile, mirror, or extract proprietary computer vision OMR algorithms or assessment engine codebases without explicit written consent.

3. Service Level Agreement (SLA) & Uptime Commitment

Hoducation provides a 99.9% uptime commitment for cloud-hosted environments. Scheduled maintenance windows are announced 48 hours in advance and scheduled during off-peak night hours.

During high-stakes examination testing (such as statewide mock tests or NTA-pattern examinations), Hoducation assigns dedicated standby technical engineers to oversee real-time server concurrency and load balancing.

4. Intellectual Property & Content Ownership

• Hoducation IP: The core AcadOS software architecture, user interfaces, branding, evaluation neural networks, and automated scripts remain the sole and exclusive intellectual property of Hoducation Technologies.
• Client IP: Your institution retains 100% intellectual property ownership of all uploaded question banks, student datasets, examination questions, and institutional branding.

5. Fees, Invoicing & Payment Terms

Software subscription fees and custom development milestones are invoiced according to the mutually executed Master Services Agreement (MSA) or formal quote. Standard payment terms are Net 15 days from invoice issuance unless specified otherwise.

6. Limitation of Liability

To the maximum extent permitted under applicable law, neither party shall be liable for indirect, incidental, punitive, or consequential damages. Hoducation's aggregate liability under any service contract shall not exceed the total fees paid by the client in the 12 months preceding the incident.

7. Governing Law & Dispute Resolution

These Terms and all agreements shall be governed by and construed in accordance with the substantive laws of India. Any legal dispute or proceeding arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the competent courts in Jaipur, Rajasthan, India.
